I advise across the full life cycle of corporate matters, from early stage funding and expansion planning through to acquisitions, disposals and post deal integration. I draft and negotiate shareholder, subscription and purchase agreements, convertible instruments, loan notes, consultancy and service agreements, and NDAs. I manage due diligence and data rooms, coordinate multi jurisdictional approvals and guide boards on governance and company secretarial matters. Clients value my strategic, pragmatic and collaborative approach and my ability to explain complex issues in plain language.

Professional Experience

I have worked in private practice as a corporate and commercial lawyer and in house as Senior Legal Counsel in the technology and biotech sectors. I also serve as a foreign qualified lawyer with Rubric, advising on cross border issues and supporting multi jurisdictional transactions.

Career Highlights

  • I served as lead legal architect for a client’s expansion into multiple African markets, structuring and negotiating a series of joint ventures and overseeing the integration of several acquisitions into a cohesive regional platform. This work supported significant follow on investment from international development finance institutions.
  • I led a complex, multi jurisdictional restructuring for a private equity portfolio company operating across Southern Africa, harmonising corporate and regulatory frameworks and creating an investment ready holding structure that enabled a substantial capital injection from an international infrastructure fund.
  • I implemented contract playbooks and a suite of standard agreements for a scaling business to improve deal speed and consistency, while establishing NDA processes and governance documentation.
  • I manage ongoing company secretarial and governance programmes for growing groups, including statutory registers, board minutes and written resolutions.

Personal

Outside work my priority is spending quality time with my family. I am a keen sports fan and follow cricket, football and rugby. I enjoy hosting BBQs and I love to travel and explore new places and cultures. I am also a bit of a history enthusiast and enjoy digging into interesting facts and stories. Earlier in life I represented my country in age group hockey and played provincial cricket.

I believe in access to justice and have undertaken pro bono work in criminal law, providing representation for individuals who could not afford it.
